Getty Images is filing for Chapter 11 bankruptcy. In the coming weeks, the company will start a fast-tracked, prepackaged restructuring, after which it will leave the stock market and be fully owned by the Getty family and Koch Equity Development. Getty expects the deal to close by the end of the year.

The company announced the plan on Monday, Reuters reports. Getty says day-to-day operations will continue as normal during the process and that vendors will be paid in full.

What the Restructuring Looks Like

This may seem like out of the blue and as if it’s happening too fast. But “prepackaged” means the major creditors agreed to the plan before it goes to a judge. That’s why Getty is talking in weeks, not years.

Once the restructuring wraps up, affiliates of the Getty family and Koch Equity Development will own 100% of the company, and they’ve committed up to $533 million in new equity. Holders of unsecured bonds have agreed to retire $270 million in notes, while secured lenders will lower interest costs and push back debt maturities. To keep the company running through the process, Koch Equity Development will also provide up to $143 million in financing.

How Getty Got Here

As of June 30, Getty had about $2.1 billion in debt. Its market value at Friday’s close was $20.74 million. In other words, the company owes roughly 100 times what the stock market thinks it’s worth.

It wasn’t always like this. After 14 years as a private company, Getty went public again in 2022 through a SPAC deal that valued it at around $4.8 billion. Since then, its shares have lost about 99% of their value. In August, Getty pulled its financial guidance and brought in Guggenheim Securities to review its financing options. At the end of September, the New York Stock Exchange started delisting proceedings.

The final blow was the collapse of Getty’s planned merger with Shutterstock earlier this year. Add heavy debt and a market increasingly flooded with AI-generated images, and you get a company that needs its founding family to buy it back. Getty has spent the past few years as one of the loudest opponents of AI image generators, including its lawsuit against Stability AI.

What This Means for Photographers

It’s comforting that Chapter 11 is a restructuring, not a liquidation. In other words, Getty isn’t shutting down completely, and its archive isn’t going anywhere. It will keep competing with Reuters and AP for editorial photo and video licensing.

In its statement, Getty Images notes that vendors “will be unaffected and paid in full in the ordinary course of business.” And if you are a contributor, it’s important to note that Getty also doesn’t expect a negative impact on content contributors, partners, customers, or employees across the network. “Payments are expected to continue in the ordinary course,” the company notes.

“Getty Images is a unique and critical source of authentic imagery for its customers,” Mike Harris, Senior Managing Director and Co-Head, Koch Equity Development, said in a statement. “We remain confident in the company’s future and fully support this transaction alongside the Getty family. This equity investment will provide Getty Images with a firm financial foundation and greater flexibility to continue investing in its employees, customers, contributors, and future growth.”

Update October 13, 2026, 2 pm ET: The article has been updated to include and clarify Getty’s comment on the bankruptcy/restructuring impact.
